The mini-tender offers for NAVR and CSTR involved slightly less than 5% of the shares outstanding for each stock ( see #reply-11527034 ). As such, they were not subject to the various filing, disclosure and other regulatory requirements of Section 14(d) of the Exchange Act and Regulation 14D:

Your point about the shareholder being asked to give a free call on the tendered shares is an excellent one. Furthermore since the mini-tender offer can be theoretically be extended the expiration date of the call is, at least in theory, indefinite.
