if I remember correctly T spun off Lucent's shares directly to T's shareholders...

How about a spinoff to sharholders AND an IPO AND retaining some shares in the corporate kitty?

Or is that too wishful thinking?

OA will supposedly go in the 10-20 X forward sales range that other similar companys have recently sold for.

At 10 x Y2K sales (which the Van Kasper report estimated at $91 million), this equates to $9.1 Million for each percentage point given up.

Now, OA needs some of that (half?) for their operating cash, so in this scenario (20% IPO), MRVC could get about $90 Million, OA gets the same, and MRVC's 80% gets valued at the market (not on the books though).

Does this sound right?

***IF the market places a
value on OA at $1bil, MRVC will have shares of OA with a market value
of $800mil...MORE than its current market cap!***

Greg, I don't understand this part. If the market place places a value on OA at $1 billion MRV share(if they sold it would be $800 million) but whose shares would they be selling? Their personal shares I know.
They would have already received from the broker $$$ for the 20%.
The 80% in value is paper equity to MRV's bottom line???
Then eps increases and this and only this is how we( individual shareholders ) benefit which should increase the price of MRV stock?

I am as dumb as I sound...don't believe me...ask my daughter!
