Kevin,

Thank you for the clarification of the NSMG value.

It is now my understanding that the balance sheet reflects value equal to the costs of MSMG to SEG including purchasing of companies, investments in time and all investments to put the unit together and make it valuable. MSMG was then traded to VRTS for a percentage of ownership in the VRTS that is considered equal in value to MSMG. Therefore, no gain and no taxes (yet). When the ownership of VRTS is sold (stock sale), SEG uses the balance sheet value as basis and pays taxes on the difference in value.

Do I have it yet?

Regards,
Mark

Kevin, re >Many corporations might be tempted to make a hostile takeover bid of SEG just for the VRTS shares.<

Sorry, but I always see takeover hopes posted when nothing else is on the horizon for an underperforming stock.
