John, So it is not the taxes which is keeping it down. Why is it not fairly valued? Is it concerns about semi side's loss of synergy with Divi such as in settops?

Thanks John. Hope the same applies where the spin (or sale) is part of a larger tax-free exchange. HLIT structured this deal to be tax free from their side, thus the purchase of the entire company (what's left) for a stock exchange. If we can obtain new stock in C-semi, tax free at issuance, excellent, then by all means spin it don't sell it - let us determine when to pay the taxes! Especially a "new company" run by the new CEO, whom I think will be better received by Wall Street. Again, I think I'll check w/my broker. Good Luck. p.s. Boo!

would not they get retired?

How can you value the semi side if all the shares are retired after the purchase?

the closest valuation we can get is of PHY buying VLSI technology.

I need to check how much they paid for it.
