WASHINGTON (FFBN) -- Harmonic Inc.'s (HLIT) $1.7 billion merger agreement with C-Cube Microsystems Inc. (CUBE) includes a $50 million termination fee.

Harmonic is acquiring C-Cube 's Divicom unit. C-Cube and Harmonic are both bound by the breakup fee and must pay the other the $50 million if they enter into a third party acquisition proposal within twelve months of the termination of this agreement.

The merger may be cancelled if it is not completed by May 31, 2000. The deal is contingent upon the approval of both companies' shareholders, the accuracy of both companies' representations and warranties, and customary legal and governmental clearances, including any applicable waiting period under the Hart-Scott-Rodino Act.

C-Cube is prohibited from soliciting bids for the company, but may engage in negotiations if an unsolicited offer is made and C-Cube promptly notifies Harmonic of such developments.

C-Cube shareholders would get 0.5427 share of Harmonic for each C-Cube share.
