The 20% of Palm will be sold in the market at the IPO price to raise money for the independent Palm. 3Com holds the other 80% in its treasury and distributes it to its shareholders as a stock dividend 3-6 months after the IPO. Nothing was announced about 3Com shareholders also getting preferred access to the 20% of the IPO shares. I am satisfied with 80% of Palm, but it would be nice if some of the IPO shares (say, 10%) were allocated to shareholders -- of course we will have to pay for them the IPO price, unlike the 80%, which will be free to shareholders.

My math brain cells tell me that a logical distribution would be 5 coms for 4 Palms.

The IPO is going to be 20% of Palms leaving 80% for existing share holders. Thus, 5 for 4....
