This deal will be decided by institutional investors.

The impression I have is that Vod is pursuing this deal because they have reason to believe that they can obtain a majority holding in Mannesmann after talking with their top institutional investors many of whom are Mannesmann equity holders. I suspect they would not be going forward at this point if they had reason to believe they did not have a majority backing. They would not risk their time and money going after Mannesmann if they thought they would be defeated.

Don't focus yourself on public opinion. The focus should be on who will tender their shares and who will not.

As a Vodafone shareholder, I oppose consolidations unless it can be shown conclusively that the merger is in the best interest of BOTH companies. The Economist financial journal expresses an opinion that Mannesmann may not be very well managed. Do you have any reason to believe that there are management weaknesses at Mannesmann? This issue - managment quality - is more important than any merger. For among other things, it can affect the extent to which management is willing to act in its shareholders' interests.
