CheckFree Prices Convertible Subordinated Notes

ATLANTA, Nov. 23 -- CheckFree Holdings Corporation
(Nasdaq: CKFR), announced today that it had completed pricing of its previously announced offering of convertible subordinated notes, and that the transaction will be consummated on Monday, November 29, 1999. The notes, which will mature on December 1, 2006, will bear interest at 6.5% per annum, payable semi-annually, and be convertible, at the option of the holder, into shares of the common stock of the Company at a conversion price of $73.20 per share, or 13.6612 shares for each $1,000 of face value. The notes are subject to call by the Company on or after December 1, 2002.
