Claude,

I am still reviewing these announcements.

There is just so much in them, that I really don't know what this means short term. Long term it may be the best thing that could have happened. I need the company to explain the nuances of it before I make up my mind.

Claude,

I'm still going over the announcement and putting together the pieces... I presume the complexity of the deal is the main reason for the teleconference later today.

Right off the top, I believe the appointment of Jan Baan as Chairman is quite a coup.

The way I read it is:

$51.8 million ($27.8 cash and services plus $24 million for the private placement) for 36 million shares in total:

- 28 million shares is for Clickchoice.com. And hey, they may not have revenues yet (like they'd be the first), but there is a company there, with management and products on the way (www.clickchoice.com).

- 8 million shares in the private placement, in consideration of the 27.8 million cash and services. Heck of a deal for Net Shepherd I think. I'd give Vanenburg preferential treatment too!

Denise.
