Any speculation on why there is such a big spread between TVGIA = $64.7 (current price) and 0.6573*GMST = $77 (merger price)?

What is the probability of this merger not closing? More importantly, what will happen to GMST if this merger fails (both long and short term)?

Appreciate any comments. Thanks all for this informative thread.

There's been some discussion here or on G&K about the "albatross" nature of TV Guide's print magazine. Had a thought a 3 AM last night--

As Gemstar moves to more of an advertising-driven model, for at least a portion of its business, they will need a lot of the infrastructure that TV Guide can provide. Specifically, advertising sales and traffic management issues are all old-hat to TV Guide, and will be needed as Guide Plus+ comes to the fore.
