To be exact the reason they say up to 80% is because 3Com might want to keep a fraction of the shares as an investment, like they have in Juniper, Extreme, Aether, Omnisky etc.. To do so they would have to purchase the stock at fair market value. I am certain the company will retain a small fraction of the shares for the benefit of the remaining 3Com shareholders. I for one intend to remain a 3Com shareholder after the spin-off and I can see how conducive it will be for 3Com to remain a shareholder of Palm.

I bet it will be very close to 80% but you are right, they said up to 80%.

I think it will mostly come down to tax laws and if it is a non taxable event.
