Risk factors that may account for TWX discount to 1.5 times AOL:

Regulator approval
All stock nature of deal
General market

Toss in the time value of money to hold TWX to closing, and a 17% discount seems reasonable. Rande, your swap may end up being a very savvy speculation (especially since I agree that AOL may continue to rise). It's not an arbitrage, however. :-)

Of course, I'm the guy running around calling CUBE a HLIT call, eh? :-O
