Advantex Marketing International Inc. Announces Shareholder Protection Rights Plan ADX: TSE
TORONTO, Oct. 29 /CNW-PRN/ - Advantex Marketing International Inc. (the ''Corporation'') (TSE: ADX - news) announced the adoption by its Board of Directors of a Shareholder Protection Rights Plan (the ''Plan''), similar to those recently adopted by many other Canadian corporations. The Corporation is concerned that the current legislation does not provide sufficient time for the Board and shareholders of the Corporation to properly evaluate a takeover bid or pursue alternatives with a view to maximizing shareholder value. The Plan seeks to ensure that all shareholders of the Corporation have an equal opportunity to participate in the benefits of a takeover bid.
The Plan does not attempt to discourage bids. It allows a potential bidder to make a ''permitted bid'' directly to the shareholders of the Corporation without the prior approval of the Board. Such permitted bid must be made to all shareholders and must remain open for a minimum period of 75 days. During this period, no tendered shares may be acquired by the bidder. The Plan also allows for a ''competing permitted bid'' to be made while the permitted bid is in existence.
The Plan is effective immediately, and will be submitted to shareholders of the Corporation at the annual and special meeting convened for December 9, 1999. The Plan will expire on the second anniversary of the date of the Plan.

Advantex Reports First Quarter Profit Revenues More Than Double ADX: TSE
TORONTO, Oct. 26 /CNW-PRN/ - Advantex Marketing International Inc. (''Advantex'') announced today its financial results for the first quarter ended September 30, 1999. Revenue for Q1 2000 was $18,093,000, an increase of $10,064,000 or 125% over revenues of $8,029,000 for the same period in the previous year. EBITDA income for Q1 2000 was $311,000 compared to an EBITDA loss of $272,000 during the same quarter last year. The net income for Q1 2000 was $118,000, compared to a net loss of $483,000 in the same period the previous year, an improvement of $601,000. The increase was primarily attributable to continued revenue growth in the Company's CIBC Aerogold Advantex Program.
