No, I don't believe that obtaining the Eqyptian contract and completing the sale of the PGTS division is required in order for Perceptonics to move forward with their IC3D technology. I'm sure that they are diligently and continuously working on the development, refinement and application of this technology. This is the future of this company and the sale of the PGTS division is a stepping stone in achieving their goals.
I attended a meeting in Minneapolis on October 13, 1998, at which the CEO of Perceptronics, Dr. Gershon Weltman, spoke to shareholders and interested investors. At the time, most of what he said relating to the technology was "over my head"; however it was obvious that he was genuinely excited about the subject and the future of Perceptronics. Now, as I'm looking through the handout from this meeting, I am amazed at how far ahead he was in seeing the direction that technology was taking.
I wish I could insert some of the pages from this handout; however my "technology" is limited. <smile> However, some of the statements that I find particularly interesting are:

THE LARGEST COLLABORATIVE 3D SYSTEM
A DoD-PERCEPTRONICS INNOVATION THAT CHANGED THE WORLD

> The U.S. Dept. of Defense runs the largest Collaborative
3D System in the world. It is called DISTRIBUTIVE
INTERACTIVE SIMULATION (DIS), and it is arrived from the
SIMNET system .. which Perceptronics was co-developer of.

> The DIS technology, and its new High Level Architecture
(HLA) extension, is the basis of Perceptronics' work to
develop commercial products and services for the 3D
Collaboration on the Internet.

WHY PERCEPTRONICS
A SMALL COPMANY CAN CHANGE THE WORLD (AGAIN)

> Perceptronics is uniquely positioned by virtue of its
active role in DIS and HLA development for the Department
of Defense. ("The $1 Billion Boost ... DoD has already
spent it ... can we use it?")

> Perceptronics has a history of successfully delivering
low-cost, user-oriented, leading edge simulation systems.

> Perceptronics has a world-class scientific and technical
team already in place.

> Perceptronics is forming strategic and marketing
relationships with companies already active in its
selected markets.

> Perceptronics has been awarded $1,140,000 in contracts
for initial InterGame development and commercialization
by the DoD and the State of California, and has received
an additional $395,000 in equity investment and/or
subsription to support this effort.

IN SUMMARY

> We Believe we are in the right place at the right time
.... again!

.........................................................

The above are direct quotes from the handout at the October 13, 1998 meeting in Minneapolis. That was 15 months ago. I am amazed at the forethought that Dr. Weltman had in positioning the company for this leading edge technology. Since this meeting there have been numerous press releases announcing strategic alliances. I believe that the company has been pleased with the progress in the development of their IC3D technology.

However, the company has always stressed the need for obtaining further financing to be able to move ahead and bring this technology successfully to market. They have continuously stated that they are actively seeking financing; possibly aquisition or merger. I believe (and this is only my opinion) that they have worked this out .... however the parties involved want Perceptronics' technology and not their PGTS liabilities. This is why the Eqyption contract and the sale of the PGTS division is so important. The delays in the negotiations must be extremely frustrating for Perceptronics.

I like to think of the tremendous potential that this technology has. From the handout and detailed above, Dr. Weltman identified the market for Collaborative 3D by the year 2002 in the areas of Electronic Entertainment, Training and Education, Electronic Commerce, and Business Communication to be in excess of $710 Billion. (and he made this statement 15 months ago!) Just think if Perceptronics could get just 1% of this market. $7,000,000,000 would look pretty darn good on their Income Statement!! <smile>

I look for the 3rd Quarter Financial results to be announced soon. (Don't expect that to be good.) Maybe we will get an update on other developments at that time.
