If JDSU was so bold to attempt to try to get BOTH ETEK and SDLI, it would croak the current bid for ETEK, and that stock would drop like a stone. A sure red flag with the FTC.

No way. As much we'd like to have a party with all that capacity and the "let's all get together and have everyone come to us" approach, IT WON'T HAPPEN.

The SDLI prize goes elsewhere, if there's a deal being done now.

JMHO.

Barry, let's take it one step further. Suppose JDSU is making these acquisitions with the knowledge that it (JDSU) may be taken out. The antitrust issues may be very different if, say, JDSU acquired SDLI and then JDSU was, itself, acquired. While I haven't done the legal research on such a theory, I submit that an acquisition of JDSU might change the scenario measurably.

One statistic stands out from yesterday's CC: "In-house divisions of customers hold 50% of industry." This when asked about regulatory hurdles re: ETEK acquisition.

Does anyone know if the FTC has ever rejected a merger or acquisition with that sort of competition still a factor?

Any M&A attorneys out there? Any IB bankers with this sort of experience? Any investors with encyclopedic memories????

Are there formulas that make certain situations cut and dried?
