Good luck in your endeavor. Having gone through a similar exercise a number of years ago, I understand how much effort goes into such a venture.

I don't know the specifics of your venture, so forgive me if the following suggestion is needless:

I recommend highly that you get a CPA involved ASAP, and have him keep up-to-date on the books throughout the year. That way, it is much easier to deal with the year-end tax statements, not to mention the inevitable mid-year dropouts along the way.

No that is incorrect -- I know! I ran in to trouble with a bank on this issue. It is at their discretion to hold the checks -- the banks (the yahoos) are quoting from a provision that was actually meant to prevent banks from holding your funds an inordinate amount of time ... be informed, know your rights.

Hey, I wasn't kidding about what I posted -- don't let the bank yank you around. I'll get the links to the actual code for ya -- the code has only one purpose to protect you from unreasonable delay in access to your funds. Seriously, these guys have misled you about what the law says ... there is no such requirement.

The folks at my bank were unfamiliar with such a holding period requirement. I know in my account they have always released funds for use w/in 3 business days for domestic checks.
