Computer Associates to buy Sterling Software

ISLANDIA, N.Y., Feb 14 (Reuters) - Business software provider Computer Associates International Inc. (NYSE:CA - news) on Monday said it agreed to acquire Sterling Software Inc. (NYSE:SSW - news) in a $4 billion stock transaction to create one of the largest suppliers of storage management software.

Under terms of the agreement, Computer Associates would exchange 0.5634 share for each outstanding Sterling share.

The exchange ratio is subject to a collar, which would change the ratio if Computer Associates' average trading price during a designated period rose above $77.12 or below $63.10 per share.

The transaction was approved by the directors of both companies and would be accounted for as a purchase.

The acquisition is expected to add to Computer Associates' earnings per share -- excluding any one-time research and development charge and the amortization of acquisition intangibles.

``We are extremely focused on being the leading provider in storage and network management, business intelligence and portal solutions, and in the design, deployment and integration of enterprise applications,' said Sanjay Kumar, Computer Associates president and chief operating officer.
