Cliff,

It seems management wants X, Y, and Z shares for certain individuals A, B, and C.

I think a good compromise would be (x1 + x2), (y1 + y2) and (z1 + z2), where the 1's would be guaranteed shares, and the 2's would be in the form of options. And, each (1 + 2) would equal the amount desired for a given individual.

(Please excuse my notation; I was a math major. LOL)
