Doug, I hear ya, and I'm with ya as an ex-DSC'er. IMO, ALA made a huge mistake, not understanding the nature of US IR. I believe they learned their lesson and the company has one *powerhouse* management team. IMO, in a couple years it'll be ALA, CSCO, LU, NT, etc.

It was not the DSC aquisition that caused the disaster, it was the perception created by the earnings warning shortly after. IMO, ALA is one massive company that has just about fully recovered from a credibility problem with the street. It may get a little worse before it gets better, but great things ahead with ALA...a no brainer.

Doug here is a proof! that September17, 1998 slide WAS NOT direclty effected by acquision of DSC which was announced in June 4,1998 home.alcatel.com, and compleated on Sep. 7, 1998.
but by forward looking statement about ALA results.-
press release on Sep.17 below.
This is why DSC owner were angree. There was not slide in stock on Sep 7, 1998., the day ALA finnaly took over DSC.
Now ALA will announced ALA/NN merger and nobody expect poor results form ALA.

Remember September 98 was characterized by sell of on Wall Street and effect of Asia-ALA problems.

Now what is you answer,

Z.O: It does appear that anyone be it me or the media who has a differing view from you or a question is manupulative.

I have first hand experience when DIGI was taken by ALA on a stock swap. On announcement, ALA dropped like a brick and
those wanting to cash out suffered. The ALA chart can be verified.

All this is part of my dd to ensure my bases are covered .

this warrning from ALA came after ALA/DSC was closed.

FIRST HALF 1998 RESULTS : A NET INCOME OF 15.2 BILLION FF
1998 operating performance hit by unfavorable conditions

Paris, September 17, 1998 -- On September 16, 1998, Serge Tchuruk, Chairman and CEO,
presented the first half 1998 results and the outlook for the full year to the Board of Directors.

First half 1998 has been characterized by an excellent valuation of the Alcatel assets sold in the
framework of the Group's refocusing on telecom markets. This results in substantial net earnings for
Alcatel as well as a strong increase in its financial strength.

Income from operations, which amounted to FF 2.3 billion, increased by 15% compared with the first
half 1997.

Concerning the outlook for the full year, orders and sales should increase by approximately 10%.
The Telecom segment's income from operations, while growing over 1997, will be adversely impacted
by the sharp investment cuts recently decided by some traditional operators and the deepening of the
Southeast Asian and Russian crisis. After reviewing the accounts and the currently available forecasts,
Alcatel anticipates that 1998 will not meet expectations in regards to the Group's operating
performance.
