May as well park this here.

NERX, which has (still is) had a nice run, also has a preferred, actually 2 series. What we are interested in is series 1 described below.

Symbol NERXP. 2.43 dividend. Payable 6/1
Convertible into 1.14 shares of common
Callable at $25.? I think. It only goes up to 1999 in this form. Maybe somewhere else there is a schedule that is more complete.

Hell of a B/A spread 16 B 23 A so eschew Market orders.

Have fun and don't hurt yourself.

The Company is authorized to issue 3,000,000 shares of SeriesPreferred Stock, par value $.02 per share, of which 298,000 shares of its$2.4375 Convertible Exchangeable Preferred Stock, Series 1 (the "PreferredStock"), is outstanding. If declared by the Company's Board of Directors, holders of Preferred Stock are entitled to receive an annual cash dividend of$2.4375 per share, payable on June 1 and December 1. Dividends are cumulative. Each share of Preferred Stock is convertible into approximately 1.14 shares ofCommon Stock, subject to adjustment in certain events. The Preferred Stock isredeemable at the Company's option at certain redemption prices, initially$27.44 per share, reducing to $25.00 per share by 1999. The holders ofPreferred Stock have no voting rights, except in limited circumstances. TheBoard of Directors may, without further action by the Company's shareholders, issue additional Series Preferred Stock in one or more series and fix all therights and preferences thereof, including dividend rights, dividend rates, conversion rights, voting rights, terms of redemption, redemption price orprices, liquidation preferences and the number of shares constituting anyseries or the designations of such series.
