ADAIR INTERNATIONAL OIL & GAS, INC. (AIGI) Concludes Annual Meeting Of Shareholders HOUSTON, Feb. 29 /PRNewswire/ -- Mr. Raymond Torres of ChaseMellon Shareholder Services acted as tabulator for the annual meeting of ADAIR INTERNATIONAL OIL & GAS, INC. (OTC Bulletin Board: AIGI - news; AIGI) that was held at the CHASE CENTER AUDITORIUM, located at 601 Travis, Houston, Texas and certified the following:
1. As of the close of business on January 2, 2000, the record date for
the determination of stockholders to vote at the meeting, the total
number of shares of common stock of the Company issued, outstanding
and entitled to vote at the meeting was: 50,938,038.
2. Each of the outstanding shares of Common Stock was entitled to one
vote on each matter to come before the meeting.
3. At such meeting, the holders of 28,032,672 shares of ADAIR
International Oil & Gas, Inc. Common Stock, or 55.03% of those
entitled to vote at the meeting, were present in person or by proxy,
such percentage constituting a quorum.
4. The votes of stockholders by ballot or proxy of said meeting were
received, inspected and tabulated. All votes received from ADP, via
direct transmission, are considered reliable, since such votes were
transmitted over a dedicated line to which no other party had access.
I. PROPOSAL ONE: To elect as directors of the ADAIR International Oil & Gas, Inc. nominees for a one year term or until their successors are elected and shall qualify:

In addition, immediately following the shareholders meeting Mr. Jalal Alghani, Vice-Chairman and Mr. Richard G. Boyce, President of ADAIR Exploration and their strategic partners left for Yemen in order to conclude the PRODUCTION SHARING AGREEMENT (PSA) for exploration Block 20, Republic of Yemen.
Also, due to unforeseen scheduling problems, the first national airdate of ``BUSINESS WORLD NEWS' Millennial Special did not air on CNBC, February 27 at 1:30 p.m. EST during its sponsored programming block, as originally planned. A new airdate (most likely Sunday, March 5) will be announced as soon as confirmation from CNBC is received, according to Mr. John W. Adair, Chairman.
