PairGain to Acquire ABL Canada's Optical Fiber Products Group; Purchase to Enable Deployment of SONET in the Local Loop via PairGain's HDSL Product Family

TUSTIN, Calif. and MONTREAL--(BUSINESS WIRE)--March 1, 2000-- PairGain Technologies Inc. (NASDAQ:PAIR), the power behind DSL access, and ABL Canada Inc. (TSE:ABL), Wednesday announced that they have reached a definitive agreement for the purchase and sale of a portion of ABL's business, the Optical Products Group and the AccessExpress(TM) line of optical fiber multiplexers and inverse multiplexers, to PairGain.

The cash transaction for $10.4 million (USD) is expected to close during PairGain's first fiscal year quarter ending March 31, 2000. It is expected that all of ABL's optical products group, totaling 15 employees, will join PairGain. The transaction is subject to ABL obtaining regulatory approval.

ABL's AccessExpress optical fiber solutions will allow PairGain's leading HiGain(R) family of HDSL and HDSL2 products to directly connect to SONET networks.

"Through this strategic purchase of ABL's optical fiber technology, it is now possible to connect directly to SONET networks from our WideBand System 3190. This is a specific requirement of several of our ILEC and CLEC customers and will greatly reduce their costs while enhancing network timing and data delivery performance," said Dennis Young, executive vice president and general manager of PairGain's Telco Access business.

The AccessExpress NX100 optical fiber multiplexer transmits up to 28 DS1s and up to two 10 Mbps Ethernet links over 52 Mbps OC-1 optical fiber. It offers a full array of advanced features such as integrated redundancy switching and remote network management for easy integration into existing SONET networks.

HDSL and HDSL2 loop access products are the ideal marriage for ABL's SONET technology," said Ray Nagele, director of product management for PairGain's T1/E1 products.

ABL's Video Express(TM) and enterprise video networking products and related software are not included in this transaction.
