The short answer is that EB/COMS don't need shareholder approval to issue stock and acquire other companies for stock or stock + cash. The COMS BOD would have to vote on any major (or minor for that matter) acquisition, but not the shareholders. Our only voice in such matters is through the BOD.

OTOH, if it was a merger, it would require shareholder approval from COMS shareholders, just like the COMS/USRX merger did.

And you're right on the 990 million shares authorized, I noted that here a couple of days ago. With 350 million COMS shares outstanding, that leaves 640 million for EB to play the acquisition game with, as well as a chunk of cash and securities.
