MRV Announces Date for Stock Split


CHATSWORTH, Calif.--(BUSINESS WIRE)--March 16, 2000--MRV Communications, Inc. (Nasdaq: MRVC) today announced May 10, 2000, subject to regulatory approval, as the date for the special shareholders meeting to approve a two-for-one stock split and an increase in authorized common stock from 80 million to 160 million shares. April 5, 2000 is the record date for determining stockholders entitled to vote at the special shareholders meeting.

Firm meeting and record dates will be announced at the time MRV mails its proxy statement for the special meeting to stockholders.

Assuming approval by the stockholders of the stock split and the increase in authorized common stock, the record date for the stock split will be May 11, 2000. Post-split trading is expected to commence on May 29, 2000.

CMG, I was just as confused re. RedC. So I called Diana in IR. And she said she suspected the release would be confusing...because there are TWO Red Cs!

There's the Red C we all thought we knew, the one that was under the Nbase-Xyplex banner and dealt with subscriber management, i.e., Redback.

Then there's the Red C we didn't know about. This second Red C (coincidentially the same name, spelling) is the one involved in optical networking and focused on DWDM. This is the spinoff of El-Op and MRVC has put money into it, as per the release.

Now, just to make things exciting, Diana says it is possible that Red C II might even sell products to Nbase-Xplex which would then have two Red Cs under its roof.
All it needs is Moses to keep them apart.
