Elizabeth....I really don't know if i'd be trusting ole Fritzy. According to below (dated 3/16/2000) Fritzy only has approx 133,000 shares if you take away the 52,012 he entered to sell on 2/22/00. How long has he been with the company? I see that he has sold approx 99,000 shares this year alone. I'm not a pro at reading these but it also appears that only 6,000 of them were fully vested. Me don't trust Fritzy.

(10) Shares beneficially owned includes 170,000 shares issuable upon the early
exercise of options vesting through July 2003. Subsequent to February 14,
2000, Mr. Fritz sold 46,999 shares of Common Stock such that only 123,001
shares are currently issuable upon the early exercise of options, 6,000 of
which will be fully vested and no longer subject to repurchase within 60
days of February 14, 2000. Also includes 10,000 additional shares of which
Mr. Fritz has an option to acquire.

Mr. Fritz told me today that between he and Mr. Rakib, they own 3.2 million shares of TERN. The no. of shares sold is insignificant.

Did he happen to tell you how many were his and how many Mr. Rakib's? And did he distinguish between options and shares already vested? To put the issue to rest, they need to be absolutely clear on the status of shares and options and exercise dates.

You will note in Terayon's 10-K they lump Imedia, Radwiz and Telegate together when discussing revenues and losses. It makes it more difficult to know which company lost how much.
