The Solomon Smith Barney report sounds like nonsense to me. When they say that VRTS has been under selling pressure as a result of the proposed SEG acquisition, do they expect anyone to believe them?

VRTS is putting out no cash to acquire SEG. VRTS is paying with VRTS stock to acquire a greater amount of VRTS stock (that is held by SEG), which is supposedly justified because of the tax laws.

The SEG disk drive business and the other SEG stock investments are being acquired by VRTS for free.

There is no economic cost to VRTS.

The recent drop in VRTS stock is due to the general tech sell-off, not to the SEG merger agreement.
