As I am skimming through the SEG SEC filing (500 pages) a few points caught my eye. First, the Senior Management is not getting screwed with their SEG stock like the rest of the shareholders. Their stock will be converted to securities of the new ownership. They also get jobs, salaries and bonuses as part of the deal. Second, I couldn't find much that showed they shopped SEG operations around. It sounds like Silver Lake made a presentation to Steve Luczo, they had a few meetings and then presented it to the Board of Directors to close. There may be further explanation in the report somewhere.

I found only two reason that they needed to take the stock private. They felt the market did not value the stock high enough (Obviously the stockholders did but the non stockholders did not) and that they were having difficulty finding good employees because good employees were taking jobs with other companies offering stock options. I fail to see how taking the company private solves either of these problems.
