ZSUN: explanation of SHORT TERM PRICE TARGET and up date on NASDAQ listing...

ZSUN news today indicated an EPS of 33/35 cents for 1999. That is very conservative and I would not be surprise to actually see an EPS of close to 50 cents for 99, since they always end up revising their projections upwards, due to the fast pace of expansion.

When you factor in the world wide expansion of the acquired seminar company and the benefits derived from the synergy between the various companies in the ZSUN group, in terms of additional exposure and cross feeding, a 50 cents EPS is not far fetched.

What's does the market says about PE's? A quick check shows PE for
YAHOO at 1800 and 700 for AOL! "Preposterous! It could not possibly apply to ZSUN", you might say. I am not so sure, since ZSUN is a multifaceted Company with little competition at its level in the exploding market of Asia, where only a handful of Internet related Companies are actually listed on a US stock exchange. This rarity factor clearly increases the PE.

So, if we are very conservative and apply a PE of say, 200, times 50 cents forward earnings, we get a share price of $100.00. PCNTF, which is in a comparable class, although it is already listed on NASDAQ, projects EPS of 24 cents for 1999 and is currently priced at $52.00, which would lend credibility to this short term target for ZSUN stock.(since then, PCNTF closed at $72.00)

By the way, the audit of ZSUN is being completed and the full set of financials will be tabled within 2 weeks. The documents for the application to NASDAQ listing should currently be prepared and I expect a listing approval within 3 to 6 months.

birdman, sorry, I should have been lot's more civil.
It is that it was boilng in me for a very long time, I kept silent for the sake of the old longs, now I don't really believe in the old time longs being still here (sorry again).
That 700 pages filing was 700 pages from the day one and it was always used as an excuse for the delays.
It is not AMEX now, Hamburg listing .... why not Frankfurt, not enough history in the Rathaus(?) or they don't like non-reporting otc companies. Well, so many red flags, that I am really glad that I've been out of here for long, and I'm telling you, getting out was not that easy, ask those guys who used to "stand by their letter boxes, waiting for their certs".
All I want from ziasun now is to protect an interest of those foreigners, who perhaps are not in a position to sell, they may be still waiting for the certs, etc.
I know that Ziasun at some stage disassociated themseleves from Amber, but the selling of reg s shares went on and it is a factor I would like Ziasun to take into consideration, whatever it takes. If there are any reg s shares still with the brokers, perhaps they should be bought back, just in case.
I'm implying nothing as to the current state of the matters, except that I don't like what my naked eye sees. I am mainly referring to the past, which I had a misfortune to be a small part of.
If I am to be labeled a basher, let it be known, that my particulars are well known to Ziasun, Amber as well as to Z8 defendants and any party could easily sue me, ..... which I advise against.
I remain to be OIA's client (on a temporary voluntary suspension).

Apapada, I understand you feel betrayed....

by management but you may be over-reacting... I spoke to Allen Wolfson after reading your post... He believes the 10K will come out today or tomorrow and the 10Q early next week... They've been frustrated with their Auditors and have hired another one...

He said they're doing large amounts of filing for themselves, 28 subsidiaries and their clients and have a record of not being past the extension date, but clearly, in this case, they've slipped up badly... However, I continue to give them the benefit of the doubt, as I feel there is far to much potential here, not to do so...

The Securities and Exchange Commission today instituted public administrative proceedings against the following persons:

Allen Z. Wolfson (?Wolfson?), age 54, is a resident of Salt Lake City, Utah;

Michael T. Grecco (?Grecco?), is a resident of Staten Island, New York;

John M. Black, Jr. (?Black?), age 42, is a resident of Jamesburg, New Jersey;

Spiro Lazaretos (?Lazaretos?), age 35, is a resident of Brooklyn, New York;

Robert Balsamo (?Balsamo?), age 27, is a resident of Northport, New York;

Vladimir Carvallo (?Carvallo?), age 33, is a resident of Astoria, New York;

Konstantinos Dino Sonitis (?Sonitis?), age 27, is a resident of Brooklyn, New York.
In the Order instituting proceedings, the Division of Enforcement alleges that, from early 1995 through September, Respondents engaged in the following unlawful conduct:

From in or about January 1999 through at least March 2000, Wolfson manipulated the public trading markets for securities issued by: Beautymerchant.com (formerly known at ATR Industries, Inc. ("ATR"); Learner?s World, Inc. ("Learners"); Rollerball International, Inc. ("Rollerball"); Healthwatch, Inc. ("Healthwatch"); and HYTK Industries, Inc. ("Hytk"). In each scheme, Wolfson acquired control over a substantial amount of free-trading securities issued by the public company and, thereafter, engaged in transactions to manipulate the public market price for those securities, including paying bribes to brokers, both directly and through promoters such as Grecco, in exchange for the brokers causing their retail customers to purchase the securities.

Each of the manipulation schemes involved the following common elements: (a) Wolfson obtained control of a large block of free-trading stock, frequently issued pursuant to Rule 504 of Regulation D (the "Wolfson Shares"); (b) Wolfson caused trades to be executed on the public market to give the false appearance that there was genuine demand for the stock of the issuer; (c) Wolfson paid bribes to brokers, through various intermediaries and nominees, in exchange for the brokers creating retail demand for the Wolfson Shares; and (d) Wolfson sold the Wolfson Shares into the retail demand created by the bribed brokers. In particular, Wolfson agreed to make payments to Grecco equal to 40-70% of the gross purchases of the Wolfson Shares caused by brokers controlled by Grecco. The purpose of these kickbacks was to provide sufficient funds to Grecco to pay bribes to brokers.

Grecco participated in each of the manipulation schemes involving ATR, Learners, Rollerball, Healthwatch, and Hytk. Grecco paid bribes to brokers to cause such brokers to cause their retail customers to purchase common stock issued by ATR, Learners, Rollerball, Healthwatch, and Hytk.

Black received bribes from Wolfson and Grecco in exchange for Black causing, either directly or through other brokers controlled by Black, retail customers to purchase shares of stock issued by ATR, Learners, Rollerball, Healthwatch, and Hytk. The bribes received by Black were not disclosed to the retail customers who purchased these shares of stock.

Lazaretos received bribes from Wolfson and Grecco in exchange for Lazaretos causing, either directly or through other brokers controlled by Lazaretos, retail customers to purchase shares of stock issued by ATR, Learners, Rollerball, Healthwatch, and Hytk. The bribes received by Lazaretos were not disclosed to the retail customers who purchased these shares of stock.

Balsamo received bribes from Wolfson and Grecco in exchange for Balsamo causing, either directly or through other brokers controlled by Balsamo, retail customers to purchase shares of stock issued by Hytk. The bribes received by Balsamo were not disclosed to the retail customers who purchased these shares of stock.

Carvallo received bribes from Wolfson and Grecco in exchange for Carvallo causing, either directly or through other brokers controlled by Carvallo, retail customers to purchase shares of stock issued by Hytk. The bribes received by Carvallo were not disclosed to the retail customers who purchased these shares of stock.

Sonitis received bribes from Wolfson and Grecco in exchange for Sonitis causing, either directly or through other brokers controlled by Sonitis, retail customers to purchase shares of stock issued by Healthwatch. The bribes received by Sonitis were not disclosed to the retail customers who purchased these shares of stock.

Illicit Profits

Respondents received at least $7 million in illicit profits from the manipulation schemes described above.

Violations

The Order alleges that Respondents willfully violated Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder.

A hearing will be held before an Administrative Law Judge to determine whether the allegations against Respondents are true and, if so, what remedial action, if any, is appropriate.

Financier Set to Be Returned for U.S. Trial FRANKFURT. Martin R. Frankel, the fugitive American financier
wanted on charges of looting
more than $200 million from
insurance companies, may soon
be going back to the United
States.

Mr. Frankel, arrested in
Hamburg, Germany, last
September after evading the
F.B.I. for months, pleaded
guilty today to German charges
that he had evaded customs
duties on about $5 million
worth of diamonds he had
brought to finance his flight from
the United States.

Today's plea removes the main
obstacle to Mr. Frankel's
extradition to the United States,
where he faces more than 30
charges of fraud and money laundering as well as civil suits claiming
damages of $600 million.

The German authorities have already approved the United States Justice
Department's request to extradite the financier, and they have indicated
their willingness to carry out the extradition as soon as they have
prosecuted Mr. Frankel on German charges.

Though court officials declined to say exactly what the next step in the
process would be, Mr. Frankel could be sent back as early as the end of
next week. His German trial will be officially concluded next Wednesday,
when all sides make their final statements.

In addition to the charge of evading about $1 million worth of customs
duties on the jewels he brought to Germany, Mr. Frankel was also
indicted for carrying eight false passports and passing himself off in a
hotel in Hamburg as a British citizen named Roger John Ellis.

Mr. Frankel, bearded and rumpled and wearing a heavy wool overcoat
despite the spring weather, made it clear throughout his short trial that he
wanted to stay in Germany as long as he could. He spoke English in the
courtroom, and his remarks were translated into German by a court
official.

"The Germans respect human values," Mr. Frankel told reporters in the
courtroom today. "An extradition to America would be the same as an
execution."

The guilty plea is the latest in a series of tactical reversals that have
befuddled Mr. Frankel's own lawyers and angered the presiding judge.
On Wednesday, Mr. Frankel balked at confirming his name and place of
birth, and then refused to enter any plea or make any statement on his
own behalf.

But later, under pressure from Judge Horst Muntzger, Mr. Frankel
announced that he wanted to call four witnesses -- three from the United
States and one from Italy. The witnesses included Mona Kim and
Cynthia Allison, two of his female associates who joined him for part of
his time last year in Rome and Hamburg.

German officials had worried that arranging for testimony from the
witnesses -- something Mr. Frankel had said earlier would not be
necessary -- would delay the trial for months. Hans-Gerd Meine, the
prosecutor in charge of the case, warned Mr. Frankel that he might
simply drop the charges and proceed immediately with the extradition.

Before his abrupt flight from the United States last year, Mr. Frankel built
up a convoluted empire by acquiring small insurance companies and then
arranging to have himself put in charge of investing the companies' assets.

Mr. Frankel is accused of using a multitude of false names and using the
insurance companies' money to pay for a lavish life. But the empire was
collapsing around him and he disappeared last May. Firefighters in
Greenwich, Conn., found his house on fire and discovered piles of
documents stuffed into the fireplace.

Mr. Frankel led the F.B.I. in a global cat-and-mouse game, first hiding
with Ms. Kim in Rome and then leaving for Hamburg just as F.B.I.
agents were about to close in on him. It took several more months to
track him down at a small but luxurious Hamburg hotel. German police
arrested Mr. Frankel, who was accompanied by Ms. Allison, and he has
been in prison awaiting trial and extradition ever since.

Mr. Frankel's Germany lawyers say he has experienced enormous mood
swings and has habitually changed his mind on legal strategy.

Though he does not speak German, Mr. Frankel apparently made
acquaintances in prison who recommended lawyers to represent him.
Thomas Piplak, the first lawyer Mr. Frankel retained, said his client
decided to add a second and then a third lawyer to his legal defense
team.

Mr. Piplak resigned as Mr. Frankel's attorney.

Since then, he has been represented by Dirk Meinicke and Gnther
Thiel.

TRADING SCAMS

THE BOX: Mob-affiliated traders control the market for a stock and its price by trading it among themselves--enforcing their control through bribery, violence, and intimidation. They then unload the stock on the public at an inflated price and, sometimes, sell it short to profit when the shares go bust.

REGULATION S: Through offshore accounts, Mob members illegally buy cheap stock issued under Regulation S of the securities laws--supposedly reserved only for foreign investors. The cheap stock is sold on the open market at vast, riskless markups.
