Alteon WebSystems and Lucent in OEM Pact

Lucent to Sell Alteon Web Switches to ISPs, Hosters and Enterprises As Part of IPWorX(TM) Web
Performance Solution

SPRING ISPCON 2000, ORLANDO, Fla., May 23 /PRNewswire/ -- Alteon WebSystems (Nasdaq: ATON - news) today announced that it has entered into an
original equipment manufacturer (OEM) agreement with Lucent Technologies (NYSE: LU - news). Under the agreement, Lucent is reselling Alteon's 180e and
ACEdirector 3 Web switches within its IPWorX(TM) Web performance solution as the WebDirector 80 and WebDirector 180 Web switches, respectively.

Among the first customers to have implemented Lucent's IPWorX offering, including the WebDirector 80/Alteon 180e, is SINA.com, a leading Internet media
company for Chinese communities worldwide.

Lucent's IPWorX combines replication, caching and intelligent switching of Web content to anticipate traffic requirements and minimize bandwidth use while securely
delivering accurate content. IPWorX consists of two components: the WebCache, a next generation caching and replication appliance based on patented technology
developed by Bell Labs; and the WebDirector, a Web switch that uses advanced content-intelligent processing to transparently distribute Web content. Alteon's
Web switches were selected to fill the WebDirector product line based on performance, scalability and advanced content-intelligent processing capabilities.

``Lucent brings tremendous breadth and depth to customers looking for a comprehensive solution to enhance Web performance and availability,'' said Selina Lo,
vice president of product marketing and management at Alteon WebSystems. ``Teaming with Lucent to help provide a dynamic Web caching solution will be a great
benefit to service providers worldwide.''

Alteon's Web switching technology enables Lucent to offer efficient and optimized Web infrastructure solutions. Used in conjunction with Lucent's WebCache
product, Alteon's Web switching is able to capture, parse and redirect traffic based on URLs and HTTP cookies. As a result, non-cacheable traffic can be
automatically bypassed from Lucent WebCaches, thereby improving performance.

In addition, Alteon's Web switching products can deploy custom network processors across all switch ports, delivering considerable processing power and the
ability to operate multiple traffic management service simultaneously with little or no performance impact.

``Alteon is the market leader in Web switching,'' said Nagan Raman, director of product management of IPWorX at Lucent Technologies. ``Their Web switches
have demonstrated the high performance, content-parsing and redirection functions essential to offering an industrial-strength solution.''

This is the company to own in the space. I think its a home run from the $40's.

FFIV is a short. FFIV's numbers will hold up a while longer because the build-out is so big right now that even 'scotch-tape' solutions will sell. However, ATON has a few quarters here where they are going to gain a ton of market share in an exploding market.

Arrowpoint/Cisco will be a factor in 2001 but ATON will have doubled market share by then.

The lock-up is long over and the Cisco threat is meaningless for the next 3 quarters. In buying Arrowpoint, Cisco has basically endorsed ATON's entire sales pitch.

Web hosters used to want to just fill cages. Now they need to think about maximizing gross profit per square foot. The easiest way to do this is to run a more efficient cage and limit the number of 'boxes.' This is exactly what ATON's solution does...
