Founded as Alteon Networks in May of 1996, Alteon WebSystems, Inc. is an Internet Data Center Company built around a single premise - to improve the scalability, performance and accessibility of servers on IP-based networks.

Headquartered in San Jose, California, Alteon WebSystems is privately held and employs a staff of over 140 around the world. On July 9, 1999, Alteon WebSystems filed with the U.S. Securities and Exchange Commission a registration statement on Form S-1 for an initial public offering of its common stock (see S1 Filing).

To date, the Company has completed three rounds of financing - having raised over $37 million from leading investors including Sutter Hill, Matrix Partners, New Enterprise Associates, Onset Management and GE Capital.

The Company is focused on delivering Web speed for e-businesses through the manufacture and marketing of ultra-high performance Ethernet Web switches and intelligent Ethernet server adapters. These products have been specifically designed to address the unique traffic control and scalability requirements of Web data center environments.

With an extensive installed base, Alteon WebSystems sells to a wide variety of customers including portals, content providers, online destinations, Web hosters and Internet Service Providers.

From among over 100 emerging companies, Alteon WebSystems was recently selected as an "Investor's Choice" by Technologic Partners at their Network Outlook conference. In June of 1999, Entrepreneur Magazine listed Alteon WebSystems as #47 on its annual HOT 100 list of privately-held copmanies.

The Company, also chosen as one of the top 100 technology companies for 1998 by Red Herring magazine, specializes in the application of intelligent high-speed Ethernet technology to maximize server performance, scalability and availability.

Alteon WebSystems is part of the newest and fastest growing segment of the data communications market. This segment, called "IP Tools" focuses on value-added IP networking devices. The Company's award-winning products are sold through OEM partners, direct sales and select value-added resellers around the world.

Originally founded by four engineers, Alteon WebSystems has a diverse make-up and extensive expertise in hardware/software development for both ultra-high performance networking and system products. This experience is accumulated from a wide range of computer and networking companies including Cisco Systems, Bay Networks, Fore Systems, Ultra Networks, Sun Microsystems, Tandem, Auspex and Hewlett-Packard.
