My understanding of the filing requirements is that any group acting in concert must report ANY changes on a Form 13D, as long as its holdings exceed 5.2 percent of the total shares outstanding. Below that point, they don't have to file. They must file these reports monthly.

You are right that the SNDK shares are held by the company, not by its executives. But converting shares into cash may allow the management to make disbursements that would make it easier for them to purchase the company.
