Resignation of Executive Chairman

GEO2 LIMITED 2000-06-21 ASX-SIGNAL-G
HOMEX - Melbourne

Mr Charles Laycock the Executive Chairman of Geo2 Limited has resigned
as Executive Chairman and as a Director of the company.

Mr Laycock has been Executive Chairman for approximately 8 years
during which time the company has undergone extensive change both in
its business objectives and the development of its novel

and the USA. It is developing a number of technologies in the areas
of water systems and metal recovery.

Mr Laycock has ensured that the company under his direction has
proceeded through the research and development stage into the
commercialisation stage. Mr Laycock believes that now the company has
undergone a change in emphasis from research and development to
commercialisation it is appropriate for a Chief Executive Officer
rather than an Executive Chairman to undertake those duties. Mr
Laycock will remain as senior adviser to the company.

INDEPENDENT DIRECTORS

The Board of the Company proposes to appoint an Independent Chairman
and to add 2 Non-Executive Directors to the Board. Dr Tom Quirk will
act as a Non Executive Chairman in the interim.

Division. Mr Michael McRae Williams will continue as General Manager

MARGIN CALL

By The Australian's MICHAEL WEST
22jun00

Scalping begins at home
THIS august publication took
another scalp yesterday with the
resignation of Geo2 executive
chairman Charles Laycock.

But no -- in the pursuit of truth,
justice and whatever the other
thing was -- we are not content to
rest on our laurels. We will call for
another scalp. And while we are at
it, we will set a precedent in
scalp-calling.

Yes we hereby call for our own
scalp! Wholeheartedly. Why not?
Getting back from lunch too late,
skulking down to the pub too often,
plagiarising things from the internet
making too many mistakes, not
coming up with enough juicy
scoops, being overly opinionated
and obnoxious and generally
unpopular in the office -- and
overpaid. And wasting News Corp
shareholders' funds to boot.

We say that's enough. We hereby
call for our own scalp and beg for
no mercy. This petition should be
acted upon immediately.
