Ruff,

Do I read this correctly to indicate QCOM will transfer just enough patents to Spinco to make them an owner of essential patents for W-CDMA, but retain more than enough to make QCOM an owner of essential patents. This is brilliant. SpinCO can cross-license, but QCOM still gets the royalty. JMHO - Just My happy opinion.
