Mark, the last trade date for SEG stock will probably be the day of the shareholder vote. After that, your SEG shares will automatically be converted into VRTS stock.

Even if you have the option to keep your SEG shares from being converted into VRTS shares (assuming the merger goes through), you almost certainly wouldn't want to own SEG stock after the merger. On a practical basis, for an outside shareholder, you don't want to own the pre-merger stock of the acquired company.

There would be almost no market for the SEG stock. And you would have almost no rights as a minority shareholder.
