Spinco is a way to deal with patent pooling and patent cross-liscencing. However, NOK could sue QCOM parent or spinco on the basis that they believe the Q patents are not valid for WCDMA. This was Ericy's strategy. It is not true but it can be used as a philibuster. CDMA2000 has a time advantage on WCDMA this could be how NOK buys some time to make chips and develop a working 3G standard.
