Siebel/Janna -3: To Launch Integrated Pdt Next Summer

Siebel Systems and Janna will integrate their products into a single product suite based on a common Web architecture beginning with Siebel Financial Services 2001, planned for release in summer 2001.

Siebel expects to account for the transaction as a pooling of interests and anticipates it will qualify as a tax-free reorganization. The deal, expected to close in the fourth quarter, remains subject to approval by Janna Systems shareholders and regulators.

Siebel, with about 208.3 million shares outstanding, closed on the Nasdaq Monday at $88.38, down $5.19, or 5.5%. In after hours trading, Siebel shares recently changed hands at $88, according to the Island ECN's order book.
