Wily,

MLC

I also noticed that a mention of MLC was conspicuously
absent from the discussion. I see this as a positive.

The SanDisk Annual Report suggests that Toshiba's lithographic
skills are so advanced that their 256 Mbit (non-MLC) product
is cheaper to manufacture than SanDisk's current 256/D2 product.
It will be interesting to see what melding these two techniques
is likely to yield for the FlashVision Joint Venture.

Presently, the 512 Mbit product will be manufactured at Yokkaichi.
I believe Eli stated that SanDisk could purchase wafer from
Toshiba as part of the FlashVision JV at a reasonable cost
("Nobody just gives away flash wafers these days.") given that
SanDisk has no upfront capital investments in the fab there.
It would seem to mimic a fabless arrangement with the cost
being partially defrayed by SanDisk's engineering contributions
and whatever concessions Toshiba made in order that the FlashVision
deal could be consummated.

I also suspect that the FlashVision JV may temporarily plateau
licensing/royalty revenues from Toshiba unless something was
written into the original contract. Eli's comments last quarter
which emphasized that the Q2 licensing and royalty revenues were
garnered from arrangements with licensees suggests that he has
some tricks up his sleeves to help fill in any gaps.

All IMHO.
