Actually, WinMe is a minor upgrade from win98 which was a little bigger upgrade from Win95. Now, win95 had more 32-bit code than 16-bit code and its kernel was 32-bit (similar to win 3.1, but supporting preemptable 32-bit threads) So, linking it to win3.1 is a little bit of a stretch. Of course, one that can be made though.

Win2K is based on NT which is a totally different animal. It is now a mature OS which is written from scratch and most of the code has been in existence since 1990. NT3.51 has C2 security at some point, I think. Win2K could also be called NT5 by the same nomenclature.
