A little background in a repost from RB. RB, as is its occasional habit, dropped several of the URLS, but you can find 'em easily if you really care:

Then why don't they simply explain how SWOMI was developed, and by whom?

"Mr. Feiler and Mr. Keyser both separately said that SWOMI emerged from a team effort AFTER Mr. Knabb made his deal with Mr. Keyser. That could explain why Jay supposedly sold SWOMI for a pittance (although he stands to do quite well if BIFS stock value increases substantially and he decides to sell)-SWOMI probably didn't exist when he inked the Beachaccess/BIFS union."

In the Amended Form 10, BIFS explains the acquisition of Beach Access this way:

"For many years, the Company had been searching for the best method of monitoring remote production facilities. The Company was looking for a method that would utilize current communications technology, would be scalable and would be inexpensive. In April of this year, the Company completed a major goal of expanding its technology capability through the acquisition of Beach Access.Net, Inc. (Beach Access), an Internet Service Provider (ISP) and developer of an exciting new wireless Internet access capability."

If this may be taken literally, it would appear to mean that BIFS bought BA for SWOMI. And frankly I can think of no reason whatsoever why BIFS, the biofiltration company, would want to purchase a small local ISP in another state unless there were something "special" involved.

From the press release of 5 April:

"Keyser further commented, "...Frankly, this was a natural way for our company to increase our cash flow and strengthen our bottom line. By expanding into an unrelated business we will not be so reliant on one source revenues and will now be able to employ this technology into our remote plant sites, once operational." Keyser further commented, "...we have always been and will always be committed to growing shareholder value. We have taken the necessary steps to increase liquidity in our stock for our expansion plans and look forward to the opportunities that lie ahead. The company has been constrained from completing acquisitions in the past due to the relatively small number of shares not held by our original investors and we feel we have taken the necessary steps to get beyond that hurdle..."

The deal is to be completed by April 8, 2000 and will create instant positive cash flow for BioFiltration Systems. The technology group, "BeachAccess.Net" will be operated as a wholly owned subsidiary, and has already entered a letter of intent to acquire a second Service provider that has a strong presence in Web Site Development and hosting."

SWOMI wasn't mentioned in the press release.

Interestingly, Jay Knabb posted the day before the acqisition was announced. Rather disingenuously, he wrote: " Al Keyser is one of the smartest buisnessmen i have had the pleasure of talking to on the phone."

He posted next on 9 April, about insider selling. He failed to mention that he was the "CEO" of Beach Access.

When asked on 27 April if he was in any way involved with BIFS, he briefly replied:

"Yes I am the ceo of beachaccess.net-"

Thank you for being available.
I see many references to the wireless ISP. Can you elaborate on the basic differences between the wireless and the alternative? Benefits derived and their application to BIFS?

Well alot of you might not see the benefit or understand wireless, but i will make it as simple as possible.
Wireless internet allows you to be in your car with a laptop and connect to the internet at t1 speeds. how about being able to get online at home without the worry of getting a busy signal or getting disconnected by a bad switch at the phone company switching station. and connecting at speeds of 1.5mbs..this by far is the future of the internet....dsl...cable all have huge limitations.-


So it appears pretty certain that Keyser and Knabb cut their deal because of SWOMI. When was SWOMI first mentioned on the RB thread? Or rather SWAMI, as it was initially called? Haven't figured that out yet. SO many posts.
