Mike --their is definitely more to the story than we are aware of . The interesting part is that DR J is one heck of a business man and seems to have a sixth sense about what is best for the "Q"'s future .
I would like to see TXN make a direct investment in SPINCO --have a vested interest in SPINCO"s future but as 3G becomes realty we know what the future will be ---W-CDMA ---Maybe TXN is coming to this reality also

Mike: Another alternative to spinning off Spinco in the public markets is to make a direct sale of the shares to TXN. Yet another alternative is to simply have an agreement to jointly develop products. Considering the five-year cross-licensing agreement, my guess is that the last alternative is most likely in the form of an expansion of the cross-licensing agreement.

Each and every 'divestiture' by Qualcomm has been met with those that maintained that the Q would never leave the particular business. They maintained it was a requirement to stay in touch with that industry. Still each time they sold.

I think IJ wants to get out of any and all manufacturing.

Spin Co goes to TI.

We, as shareholders, dont do too bad.

Maybe I'm reading too much into this but doesn't the statement below simply mean that Spinco just got the missing IPR to make it's WCDMA chips. Note how it says ALL wireless and wireline applications. I don't think it involves anything to do with JVs or ownership of Spinco. Spinco got the missing WCDMA IPR it needs and TI got it's missing CDMA IPR. A simple solution to both company's needs.

"The companies have agreed to enter into a comparable agreement between TI and Spinco
(the temporary name of the entity that QUALCOMM has announced will be spun off as a
separate and independent entity) that will allow Spinco to supply integrated circuits for all
wireless and wireline applications. Additional terms of the agreement were not disclosed."
