The one fear that I have is that I dont understand the mechanism by which Qualcomm is going to assign patents to SpinCo. For example, when Ericsson licensed W-CDMA they gained access to ALL of Q's patents.

I don't think QCOM granted all future patents to Ericy. Qualcomm will assign recently acquired IPR's to Spinco for IPR trading purposes. For example, some Snaptrak patents and potentially some of the IPR obtained through the recent Texas Instruments deal will also be assigned to Spinco.
