I took a look at Article 10 (Termination) of the Merger Agreement and there are no easy outs. The agreement can be terminated if the merger does not close by June 30, 2001. The only hope for WEBT shareholders is if NTIQ made an error in one of their representations. Perhaps "Absence of Changes" or "Litigation" (Article 5). The problem is that there does not appear to be any specific piece of information from NTIQ that has caused the caused the stock to crater. It would help to have them issue a "warning." A nice little class action might provide WEBT with an opportunity to back out of the deal.
