Best fit? I'll let Peter paint the picture, and then I and others will fit it to given companies.

The issue of profit, such that the tax loss carryover can be used, would seem to rule out the sexiest of possibilities.

Peter..... could the yeasties and loss carryforward be sold separately from the cash, Axiom, and potential milestone/royalty flow? You said that the business had to be practiced by the company that purchased the carryforward. The "business" is the yeasties and ass'd stuff.

Misc. ramblings re proxy/annual report:

1. Page 17--"55 holders of record" as of 3/15/01/. Aren't we the elite ones? [g]

2. Page 27-28. '96 Option Plan. 1,833,3334 more possible shares. How do you spell d-i-l-u-t-i-o-n?

3. Page 15 of Notice booklet. How will implementation of Berg's request make it less likely that KDUS will be able to realize the value of the tax loss carryover, especially in light of the discussion here of the legal difficulty in
meeting the IRS standards?

4. Glass's statement in the front of the A.S.:
"In 2001 Cadus mgt. will seek to build upon the positive developments of 2000 by seeking to (i) use a portion of the Co's available cash to acquire technologies or products or to acquire or invest in companies, (ii) license its yeast-based technologies to third parties, and (iii) realize value from its investment in Axiom."

Watchout SGP!! You thought only MRK was trying to acquire you! [g] I thought they were shopping the company? Or are they shopping it but don't want to admit it?

I ended up voting for the Berg proposal.
