<<- nothing must have happened in the intervening time between the Luminent offering and the distribution, including a future
change in market or economic conditions or in our or Luminent's business and financial condition, that causes our board of
directors to conclude that the distribution is not in our best interest or the best interest of our stockholders.>>

HUH! Sounds like my recent joke posted???

You take that so literally. In programming an "OR" condition, it doesn't matter which condition is coded first. In English it is not so clear, but that sentence doesn't establish that as the order. The "our" is MRVC. I read it that way, but I don't see where one is clearly set up ahead of the other.

<since when is it legal to put the director's, employee's, management's interest in front of the stockholder's??? >

hasn't it always been way...

plus...THEY are the current shareholders with 144M shares...

if they spin off the company at current levels....mrv would have little value...etc...etc..etc...we've gone down that road numberous times already...

I would want them to put the company's interest first as putting "ours" first may lead to a much more negative short-term and possible long-term scenario.
