Well, no, actually, only the first ten pages of that chapter talk about recapitalizations, and the examples cited don't particularly resemble AREM's plan. Indeed, the only reason AREM can call it a recapitalization is because they're issuing a trivial amout of class B common to "make change" for holders of odd lots of shares not divisible by 10. Apart from that and the onerous physical exchange clause, this is really nothing more than a glorified stock split.

One other thing that just occurred to me: wouldn't a physical exchange of share certificates pretty much obligate a trading halt? And if the stock is halted, how are the shorts supposed to be bought in?
