Spinco will occur because of the following reasons:

1) it eliminates possible conflicts of interest between maximizing chip sales and maximizing CDMA adoption, allowing Q classic to focus on the latter (even if it means helping out otherwise rival chipmakers, like nokia).

2) it is more convincing when Q classic is touting CDMA to a potential customer if Q classic does not stand to gain from chip sales

3) QCT and QTL have been operating as independent entities (with their own buildings, IT and administrative staff, and esp management, etc.) for about 8 months now. Don't you think Sepulzio is chomping at the bit to run his own show?

4) there's no reason not to spin off QCT; just like it made sense to spin off the handsets and the infra business.
