WorldCom, Inc. ("WCOM/adj. WUO") Determination of Cash-in-Lieu Amount

WorldCom, Inc. ("WCOM/adj. KHH/YVY/OSO/WQZ/DOJ/WUO") had previously approved a recapitalization and distribution of shares of Common Stock of WorldCom, Inc. - MCI Group ("MCIT"). Based on the recapitalization, each share of WCOM was converted into one (1) share of WorldCom, Inc. - WorldCom Group Common Stock (New "WCOM"), and 1/25 of a share of WorldCom, Inc. - MCI Group Common Stock ("MCIT"). The record date was June 7, 2001. The mail date was June 8, 2001. The ex-date was Friday, June 8, 2001. The OCC has informed that a whole-share price of $18.06 was used in the determination of cash-in-lieu amounts for fractional MCIT shares.

Contract Adjustment
Pursuant to Article VI, Section 11 of OCC's By-Laws, all LDQ/WQM/VQM & adj. WQZ/DOJ/WUO options outstanding as of Friday, June 8, 2001, were adjusted as follows:

A) The LDQ/WQM/VQM series were adjusted to require the per-contract delivery or receipt of: (A) 100 shares of WorldCom, Inc. - WorldCom Group Common Stock (New "WCOM"); plus (B) 4 shares of WorldCom, Inc. - MCI Group Common Stock ("MCIT"). The LDQ/WQM/VQM option symbols changed to KHH, YVY and OSO. Premiums and strike-price amounts for the adjusted KHH/YVY/OSO options continue to be calculated on the basis of a multiplier of 100, i.e., for premium and strike-price extensions, 1.00 equals $100. Strike prices remain the same.

B) The previously adjusted WQZ/DOJ series were further adjusted to require the per-contract delivery or receipt of: (A) 150 shares of WorldCom, Inc. - WorldCom Group Common Stock (New "WCOM"); plus (B) 6 shares of WorldCom, Inc. - MCI Group Common Stock ("MCIT"). The WQZ/DOJ option symbols remained the same. Premiums and strike-price amounts for the further adjusted WQZ/DOJ options continue to be calculated on the basis of a multiplier of 150, i.e., for premium and strike-price extensions, 1.00 equals $150. Strike prices remain the same.

C) The previously adjusted WUO series were further adjusted to require the per-contract delivery or receipt of: (A) 37 shares of WorldCom, Inc. - WorldCom Group Common Stock (New "WCOM"); plus (B) 1 share of WorldCom, Inc. - MCI Group Common Stock ("MCIT"); plus (C) $80.22 cash ($71.55 + $8.67 cash-in-lieu of 0.48 share of MCIT Common Stock) (based on a whole-share price of $18.06 for MCIT shares). The WUO option symbol remains the same. Premiums and strike-price amounts for the further adjusted WUO options continue to be calculated on the basis of a multiplier of 100, i.e., for premium and strike-price extensions, 1.00 equals $100. Strike prices remain the same.
