HWP might come up with an exit plan that avoids the vote. They seem to be crafty folks. If it turns out H&P family has 17% and enough institutions voting against it, I don't think a formal vote will go forward. The board will fire Carley to cover their tail. Pay Compaq and move on.

As I understand it, CPQ and HWP have different voting methods in determining the results as to whether the deal is accepted or rejected.
One company counts all outstanding shares as a basis and the other only counts votes submitted, or something like that.
Somebody please bail me out here with the facts.
