Cognicase arranges $40.4-million bought-deal financing

News Release

Mr. John Valentini reports
Cognicase has entered into an agreement to sell, to a syndicate of
underwriters led by CIBC World Markets Inc., four million common shares at
$10.10 per share, to raise gross proceeds of $40.4-million on a bought-deal
basis. Closing is expected to occur on or about Dec. 21, 2001. Cognicase
has granted to the underwriters an option, exercisable in whole or in part
until closing, to purchase an additional one million common shares at the
same offering price.
The corporation confirms that the common shares will qualify under the
Quebec Stock Savings Plan and will entitle an individual who is a resident
of Quebec on Dec. 31, 2001, to deduct 100 per cent of the cost of such
shares for income tax purposes for his 2001 taxation year.
The securities being offered have not been, nor will be, registered under
the United States Securities Act of 1933, as amended, and may not be
offered or sold in the United States or to U.S. persons absent registration
or applicable exemption from the registration requirement of such act. This
release does not constitute an offer for sale of securities in the U.S.
