ciao - BN Brooklyn. That was a situation I wasn't aware of although did see some private placement details filed on the Alta. Securities site. It definitely appears that the people-power lined up has done it before.

The news release you linked to mentioned a financing - the ASC site had a report dated Jan.04 indicating 4 of the participants in the financing.

There appear to be very strong connections to the law firm Burnet Duckworth & Palmer. 3 of the 4 persons listed on the ASC site are bdplaw lawyers:

JOHN BRUSSA
SHANNON GANGL and
GRANT ZAWALSKY

Brussa is indicated as purchasing $1.8mil worth of $1.00 common shares. I don't know if that's a misprint or not however that's what shown in the Form20 report.

Shanon Gangl and Grant Zawalsky are listed as purchasers of $0.10 shares.

Zawalsky -- 110,000 shares at $0.10 and Gangle 40,000 shares at $0.10

A link to some lawyer hype - bdplaw.com

Bruce Chernoff name is familar too although he's not with bdplaw -- remember the aborted and flubbed takeover of VTU Ventus by Petrobank PBG? Lots of institutional types and others would wish not to........ Previously Mr. Chernoff was involved with Pacalta which ended up being taken over by AEC Alberta Energy. A bit of a tangent but here's a link to an old archived thing out of the globe&mail which briefly mentioned the days surrounding the Pacalta takeover archives.theglobeandmail.com More recently I believe he's involved with Int'l. Datashare through Caribou Capital Corp.

The Jan.04 Form20 shows Bruce Chernoff purchasing 200,000 Brooklyn Energy shares for $200,000

The date for the transactions accounting for 2,150,000 Brooklyn shares is December 17,2001.

Some lawyer profiles:
John Brussa bdplaw.com

Shannon Gangl bdplaw.com

Grant Zawalsky bdplaw.com

Other names listed in previous news release:
* Bob Rosine - was president at Maxx before resigning and being replaced by ex-Ranger RGO president Fred Dyment.

* Bruce Chernoff - according to a yahoo news release, an independent businessman, is currently a director of various publically listed oil and gas companies.

M. Chernoff (I'm assuming Michael and I believe Bruce's dad) - was a co-founder of Pacalta Resources. If I'm not mistaken both are Alumni of Queens University - 1959 and 1987. google.com

* Kenneth Woolner - was president of VEL Velvet Exploration and controlled over 1mil. shares according to a mgmt. circular for VEL just less than a year ago and prior to $8.15/share takeover by Texas-based El Paso.

* Robert Fryk - previously held the positions of Vice President & COO and Vice President, Engineering & Operations of Maxx Petroleum Ltd., a public corporation listed on the TSE, from November 1998 to May 2001. Prior thereto, Mr. Fryk was Manager of Engineering with Tarragon Oil and Gas Limited, a public oil and gas company

* Jim McCormick - was Vice President, Land of Magin Energy Inc., a TSE listed junior, from February 1997 until that company was acquired in June 2001. Prior to Magin, he was founder, President and CEO of private Auburn Exploration Inc. from September 1995 until that company was acquired by Magin in 1997. Previously, Mr. McCormick had been the President and CEO of Webex Resources Ltd., a TSE listed junior company.

* Gordon Perkins - most recently came from TPH Triumph which was taken over by BTE Baytex. Prior to his employment with Triumph, Mr. Perkins was the Manager of Exploration at Spire Energy Ltd., a small public gas company listed on the TSE from September 1997 until September 1999.

* Stuart Symons - was VP Finance at Avid Oil and Gas which was taken over by HSE Husky. I believe Grant Zawalsky was also on the board of directors at Avid.

An old yahoo news release indicates much of the above -- biz.yahoo.com

Will be interesting to see where/what Brooklyn does and will also be interesting to watch things like general and admin. expenses. Maybe an unfair statement but possibly potential for some fairly high-priced help.......
